Terms and Conditions
The rules that govern our working relationship.
1. Introduction
These Terms and Conditions ("Terms") govern your use of services and products provided by Do.Qix ("we," "us," "our"), including:
- Automation Services: done-for-you workflow design, building, hosting, monitoring, and maintenance
- SaaS Products: standalone software products available via subscription on our website
By engaging our services, subscribing to a product, or using our website (digitaloperations.co.za/doqix), you ("the client," "you") agree to these Terms. If you do not agree, do not use our services or products.
2. Services Overview
2.1 Automation Services
We design, build, host, and maintain workflow automations for your business. Our service tiers (Solo, Team, Business, Enterprise) are described on our Services page and in our Pricing Strategy. Each tier includes:
- Workflow design and build
- Hosting on our managed infrastructure
- 24/7 monitoring and error alerts
- Ongoing maintenance
- POPIA-compliant data handling
2.2 SaaS Products
We offer standalone software products available via monthly subscription. Each product has its own feature set, pricing, and terms as described on our Products page. General terms in this document apply to all products unless a product-specific addendum states otherwise.
3. Pricing and Payment
Pricing terms (summary). All prices are quoted in ZAR. Automation services and SaaS products are month-to-month with no long-term contracts unless explicitly agreed in writing. We may adjust pricing with 30 days' written notice. Price changes apply from the next billing cycle, and you may cancel before the new price takes effect. Full detail in §3.1 Currency, §3.4 Price Changes, and §4.1 Month-to-Month below.
3.1 Currency
All prices are quoted and payable in South African rands (ZAR).
3.2 Billing
- Automation Services: Billed monthly in advance. Setup fees (where applicable) are invoiced at project commencement.
- SaaS Products: Billed monthly in advance from the date of subscription.
3.3 Payment Terms
Invoices are due within 7 days of issue. We accept EFT, credit card, and debit order. Late payments may result in service suspension after 14 days' written notice.
3.4 Price Changes
We may adjust pricing with 30 days' written notice. Price changes apply from the next billing cycle after the notice period. You may cancel before the new price takes effect.
3.5 Promotions
Launch offers, discounts, and promotional pricing apply to the period stated. Standard pricing resumes automatically at the end of the promotional period.
4. Subscription and Cancellation
4.1 Month-to-Month
All automation service tiers and SaaS product subscriptions are month-to-month. There are no long-term contracts unless explicitly agreed in writing.
4.2 Cancellation
You may cancel at any time by notifying us in writing (email to hello@digitaloperations.co.za). Cancellation takes effect at the end of the current billing cycle. No refunds are issued for partial months.
4.3 What Happens on Cancellation
- Automation Services: We will provide a reasonable handover period (up to 14 days) to export your workflow configurations and data. After this period, hosted workflows will be deactivated.
- SaaS Products: Access ends at the close of the current billing cycle. You may export your data before that date.
4.4 Our Right to Terminate
We may terminate or suspend your account if you:
- Breach these Terms
- Fail to pay after the 14-day grace period
- Use our services for unlawful purposes
We will provide written notice and a reasonable opportunity to remedy the breach before termination, except in cases of serious misconduct.
5. Intellectual Property
5.1 Your Workflows
You own what we build for you. Workflow configurations, process maps, and automations built specifically for your business are your intellectual property. If we part ways, you retain full ownership and can continue running them independently.
5.2 Our Platform and Products
The underlying platforms, tools, code libraries, templates, and SaaS products remain the intellectual property of Do.Qix. You receive a licence to use them for the duration of your subscription, not ownership of the software itself.
5.3 Reusable Patterns
General automation patterns, templates, and non-client-specific techniques developed during the course of our work remain our property and may be reused across other engagements in a non-identifiable form.
5.4 Your Content
Any data, content, or materials you provide remain yours. We will not use your data for purposes beyond delivering the agreed service without your explicit written consent.
6. Data and Privacy
6.1 POPIA Compliance
We comply with the Protection of Personal Information Act (POPIA). Our handling of personal information is governed by our Privacy Policy.
6.2 Data Hosting
- Automation Services: Workflows are hosted on our managed, self-hosted infrastructure. Where possible, data resides on South African-based servers. We do not sell, share, or expose your data to third parties unless required to deliver the service (e.g., connecting to your chosen apps).
- SaaS Products: Product-specific data handling is described on each product's page. The same POPIA commitments apply.
6.3 Data Portability
You may request an export of your data at any time. We will provide it in a reasonable, machine-readable format within 14 business days.
6.4 Data Retention
On cancellation, we retain your data for 30 days to allow for export. After 30 days, data is permanently deleted from our systems unless legally required to retain it.
7. Service Levels
7.1 Uptime
We target 99.5% uptime for hosted automations and SaaS products, measured monthly. Scheduled maintenance windows (communicated in advance) are excluded from uptime calculations.
7.2 Support Response Times

7.3 Maintenance
We perform routine maintenance to keep workflows and products running. This includes app updates, connection fixes, and minor adjustments. Maintenance is included in all service tiers.
8. Acceptable Use
You agree not to use our services or products to:
- Process or store data in violation of POPIA or any applicable law
- Send spam, unsolicited communications, or bulk messages
- Attempt to reverse-engineer, decompile, or copy our software or products
- Overwhelm our infrastructure with excessive or abusive usage beyond normal business operations
- Engage in any activity that is fraudulent, harmful, or illegal
We reserve the right to suspend access if we reasonably believe a violation has occurred, with written notice provided.
9. Limitation of Liability
9.1 Service Delivery
We will deliver services and products with reasonable skill and care. However:
- We do not guarantee specific business outcomes. ROI estimates, savings calculations, and projections provided on our website or during consultations are illustrative and based on typical results. Actual results depend on your specific circumstances.
- We are not liable for third-party service disruptions. If an app you use (e.g., Xero, Shopify, Google) changes its API, goes down, or discontinues a feature, we will work to resolve the impact but are not liable for resulting losses.
9.2 Cap on Liability
Our total liability for any claim arising from our services is limited to the fees you paid us in the 3 months preceding the claim. This applies to the fullest extent permitted by South African law.
9.3 Exclusions
To the extent permitted by law, we are not liable for:
- Indirect, consequential, or incidental losses (including lost profits, lost data beyond our control, or business interruption)
- Losses arising from your failure to maintain accurate login credentials or access controls
- Losses arising from your own breach of these Terms
9.4 Consumer Protection Act
Nothing in these Terms excludes or limits any rights you may have under the Consumer Protection Act, 2008 (Act 68 of 2008) that cannot be excluded by agreement.
10. Warranties and Disclaimers
- We warrant that services will be performed with reasonable care and skill.
- SaaS products are provided "as is" and "as available." While we strive to keep them reliable and useful, we do not warrant uninterrupted or error-free operation.
- We do not warrant compatibility with every third-party application. We will confirm compatibility during the scoping process or product documentation.
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business processes, pricing, technical configurations, and client data. This obligation survives termination of the agreement for a period of 2 years.
12. Force Majeure
Neither party is liable for failure to perform due to circumstances beyond reasonable control, including but not limited to: load-shedding, natural disasters, internet outages, government actions, pandemics, or third-party service failures. Affected obligations are suspended for the duration of the event.
13. Modifications to These Terms
We may update these Terms from time to time. Changes will be:
- Published on our website
- Communicated via email to active clients at least 14 days before taking effect
Continued use of our services or products after the effective date constitutes acceptance of the updated Terms.
14. Dispute Resolution
14.1 Informal Resolution
We prefer to resolve disputes by talking. If an issue arises, contact us at hello@digitaloperations.co.za and we will work in good faith to resolve it.
14.2 Mediation
If informal resolution fails, either party may refer the dispute to mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA) before initiating formal proceedings.
14.3 Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any legal proceedings will be brought in the courts of the Republic of South Africa.
15. Electronic Communications
In accordance with the Electronic Communications and Transactions Act, 2002 (Act 25 of 2002), you consent to receiving communications from us electronically (email, website notices). Electronic communications satisfy any legal requirement for written communication.
16. General
- Entire Agreement. These Terms, together with our Privacy Policy and any product-specific addenda, constitute the entire agreement between you and Do.Qix.
- Severability. If any provision is found unenforceable, the remaining provisions continue in full effect.
- Assignment. You may not assign your rights under these Terms without our written consent. We may assign our obligations to a successor entity.
- Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
